Hello,
I bet the question was asked 100+ times ?
I found PE Explorer but it's not free. And many so many others.

RosAsm inckudes a Disassembler, that makes it a
free GPLed "Disassembler-Re-Assembler". It also
recovers the Resources.
The biggest the File is, the less chances you will
have for a correct rebuild, without any hand work,
but on small files, it can be called a
"Two-Clicks-Disassembler-Re-Assembler".

I'd recommend you freeware 4.3 version of IDA Pro from Datarescue. IDA is,
hands dowm, THE best disassembler, and although 4.3 is quite old, it's
still a very powerful piece of software. Datarescue is not hosting it
anymore if I'm right, try to search the net.

OllyDbg may be what you want. Anyway, I like it very much.
